This Agreement ("Agreement") is entered into by and between 99 Sites ("Company"), with its principal place of business at Grovedale, Geelong, Australia, and the user ("User") of the Company's website management software ("Software").
The Company agrees to provide the User with access to and use of its website management software, Website & Sales CRM , which includes building websites in the Go HighLevel CMS website builder and access to the custom-branded 99Sites app, built on top of the "white-labeled" Go HighLevel app.
The User agrees to pay the Company $99 USD monthly for the use of the Software. This payment covers the use of the Website & Sales CRM and includes up to 60 minutes of website maintenance per quarter, such as amending photos or updating minor text (e.g., service pricing) on the website, as requested by the client. The payment does not cover any additional fees or charges from using other services such as SMS, Email, AI chat, or phone number rental through the Go HighLevel platform. It also does not include any ongoing SEO or other marketing activities.
The User agrees to use the Software in compliance with all applicable laws and regulations. The User is responsible for maintaining the confidentiality of their login credentials and for all activities that occur under their account.
The Company will use reasonable efforts to ensure that the Software is available 24/7, except during scheduled maintenance and unforeseen outages. The Company is not liable for any interruptions in service. The Company is contactable via email at

Customers are free to discontinue their agreement with the Website & Sales CRM plan at any time, as payments are monthly. However, customers are required to have their Website & Sales CRM active for a minimum of 24 months to take their website off the Company's 99Sites (Go HighLevel) account. Customers who wish to take ownership of their website before this period will need to pay out the remaining balance owed for the months remaining (24 months minus months paid, times $99 USD). If customers choose to take their website off 99Sites, they will be required to purchase their own Go HighLevel account at their own expense to host the website. They may also contact a website developer to transfer the website away from GoHighLevel if possible; this is the responsibility of the customer to facilitate and pay for this process. Removing the website from the Company's 99Sites account will also result in losing access to forms and premium widgets implemented on the website by 99Sites.
The Company's Privacy Policy, available at www.99sites.io/privacy, describes how the Company collects, uses, and discloses personal information. By using the Software, the User agrees to the terms of the Privacy Policy.
99Sites, or any persons connected to 99Sites and the management of the User's website, are not liable for any damages or loss of income from the User's website. The total liability of the Company for any claim arising under this Agreement is limited to the amount paid by the User to the Company in the preceding 12 months.
In the event of a dispute arising out of or in connection with this Agreement, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiations, it will be resolved through binding arbitration in [specific location], as agreed upon by both parties.
This Agreement shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law principles.
10a: Complimentary Site Construction: We are pleased to offer complimentary website construction for our clients. This service is provided at no cost to our customers.
10b: Content Backup: Should you, the client, decide to discontinue our services or migrate to another platform or service provider, it is your sole responsibility to make backups of your content. While we may provide a text document backup of the content on your website as a courtesy, it is not an obligation on our part. If you wish to avail of this courtesy backup, please ensure your request reaches us no later than 15 days before the deactivation of your account.
10c: Proprietary Technology and Automation: Our unique technology and automation processes, which distinguish our services in the market, remain our exclusive intellectual property. Clients may not replicate, transfer, or utilize our technology or automation processes upon termination of services.
10d: Usage: By using our services, you agree to assume all liabilities related to the content and operation of your website. Our company shall not be held responsible or liable for any loss, damage, or discrepancies on your website. Further, clients may not seek any form of compensation or credits from our company for issues related to content backup, migration, or any other matter.
10e: Usage Risks: Using our platform and services is at your own discretion and risk. It is the client’s responsibility to regularly back up content and document any essential processes pertinent to their website and business.
By agreeing to these terms, you acknowledge understanding your responsibilities and liabilities and waive any claims against our company pertaining to the above stipulations.
By checking the box on the registration or signup form, the User agrees to the terms and conditions of this Agreement. This action constitutes a legally binding electronic signature, equivalent to a handwritten signature.
This Agreement constitutes the entire agreement between the parties and supersedes all prior understandings, whether written or oral, relating to the subject matter of this Agreement.
